Value chain theory pointed out that all kind of cooperation forms, as allied with the supplier, customer, rival etc., all increase the enterprise value and the competition force. Because the alliance also may cause monopoly, some industrial economists always approve the competition, and oppose the cooperation. But as time passed, some economists also are convinced to the importance of alliance, also think the alliance is not same with cartel, and will not cause monopoly,
Chapter four research into strategic alliance history. Strategic alliance essentially is a kind of cooperation form, and cooperation has a long history. We even can say cooperation history begin with human society history. Cooperation and competition both promote the society advance. Our country always pays attention to the human relations cooperation, but because our country merchandise economy is not prospering, enterprise cooperation history is very short. Despite the western enterprises always emphasize the competition, but because the western enterprise pursue the benefits of inside motive and the competition of outside pressure, the enterprise by all means look for the cooperation and alliance. In the alliance history, cartel and syndicate is alliance rudiment, trust and concern is alliance developed forms, enterprises group and MNC mutual cooperation actually is alliance. After our country reform and open policy, our country positively promotes the enterprises cooperation, such as horizontal association, enterprise group etc. At the same time, Chinese enterprises also begin to set up strategic alliance with domestic and international corporations.
Chapter five analyzes alliance economic effect and operation term. We can use mathematics method to prove alliance effect larger than individual. Analyze from the economics, the strategic alliance can realize the economic effect of scale without extend the enterprise scale; it can realize economic effect of scope without extend production; it can realize economic effect of speed through quickly respond to the market; it can realize economic effect of knowledge through the share of knowledge and mutual study; it can realize economic effect of technique innovation and produce a series of related technique creative through technique cooperation. Strategic alliance also need some operation term, such as an enterprise must have certain core-competence; an enterprise organization must be agile、intellective、simple and flexible; an enterprise has complete technique information and technique ability; and has perfect personnel term and culture term etc.
Chapter six studies strategic alliance’s organization and management. If an enterprise want to set up a strategic alliance, firstly, it need a strategy program to know exterior environment and internal environment, in order to analyze the enterprise’s advantage and disadvantage, as well as the enterprise’s suffering and opportunity. Secondly, looking for cooperation partner on the basis of strategy program. There are three aspects to measure whether an enterprise will be cooperation partner or not, namely compatibility, capability and commitment. Thirdly, after find cooperation partner, the enterprise should start preparing the cooperation negotiation. The enterprise should prepare carefully before negotiation. Then both sides come to an agreement about alliance organization form, alliance target, profit allotment, technique protect, and alliance dismiss. Lastly, the enterprise should keep on completely management, otherwise alliance can’t hold on for long time. Alliance management include the leadership management, employee management, enterprise culture management, risk management, profit allotment management, knowledge protect management, and alliance termination management etc.
